General Terms and Conditions:

Local Hits Media LLC uses best effort knowledge, experience and time to create written and graphical information used in raising awareness of client's site to a targeted group of prospects and customers. All efforts are directed at increasing the client's number of unique site visitors by helping targeted, individual users find businesses and their web sites through clicking on Local Search engines.

Local Hits Media LLC reserves the right to refuse to provide the Service to any one for any reason and to issue a full refund at its sole discretion.

Local Hits Media LLC reserves the right to update the Terms of Service at any time. Any updates will be effective upon posting of the updated terms to the website located at http://www.ilocalhits.com

Many local search providers syndicate their content to other search providers. Local Hits Media LLC offers no warranty or guarantee as to these syndication partners.

Local Hits Media LLC retains the right to alter (add or remove) local search providers included in this agreement at any time.

You grant Local Hits Media LLC the right to store and alter the provided content prior to submission to the local search providers. You also grant Local Hits Media LLC and the local search providers a royalty free, world-wide right and license to access, index, cache, and display the provided content.

You agree to allow Local Hits Media LLC to act as an agent on your behalf when submitting your business information to search providers.

You acknowledge that providing incomplete, inaccurate, or otherwise incorrect information about your business and/or its location will likely result in your listing being rejected by the local search engines. No refund is offered for rejected listings.

You agree not to promote racism, hate, or other material that is not appropriate for all age audiences is prohibited and that Local Hits Media LLC has the right to remove material it considers not appropriate.

Indemnification Warranty and Holds Harmless:

Each party warrants that its respective performance of the terms of this agreement will not in any way constitute knowing, intentional infringement or violation of any copyright, trade secret, trademark, patent, invention, proprietary information, or nondisclosure rights of any third party, and that its respective performance will not include any action in violation of or the inclusion of any material which is known to be in violation of local, national or international laws. Client hereby indemnifies and holds Local Hits Media LLC harmless against all costs (including attorney fees), damages, and liabilities arising from the negligent or intended acts of the client constituting the violation of any copyright, trade secret, trademark, patent, invention, proprietary information, nondisclosure rights of any third party.

Disclaimer of Web Site Activity:

Local Hits Media LLC makes no guarantee that the Client's WWW Site will generate any specific number of "hits" per day, month, quarter, or year. Local Hits Media LLC makes no other guarantees of public awareness of the client site, and shall be held harmless against any and all Client-determined loss of revenue associated with Client's WWW Site. Local Hits Media LLC makes no guarantee that the Client's advertising/publishing space and/or WWW Site will generate revenue for the client and is in no way responsible for the marketability of material supplied by the Client.

Assignment:

Local Hits Media LLC may assign, delegate, or subcontract any rights or obligations under this agreement.

Length of Agreement:

This agreement shall last for twelve months.

Payment Promotional fees:

Due in advance of work to be initiated pursuant to this agreement, service fees must be paid in full or in part with an installment plan. Service fees are non-refundable. Service fees are fully refundable in the instance of Local Hits Media LLC breach only.

General Amendments in Writing:

No other amendment to this agreement shall be effective and binding until it is reduced to writing and signed by both parties.

Applicable Law:

This agreement shall be governed and construed by the laws of the State of Delaware.

Remedies Cumulative:

Remedies to either party for breach of this agreement are cumulative and may be exercised concurrently or separately. The exercise of any one remedy shall not be deemed an election of such remedy to the exclusion of other remedies. All remedies granted by this agreement shall be in addition to and not in derogation of the remedies to which the aggrieved party may be otherwise entitled at law or equity.

Severability:

Any invalidity, in whole or in part, of any provision of this agreement shall not affect the validity of any other provision of this agreement.

Survival:

This agreement shall benefit and be binding on the respective successors in interest, heirs, executors, administrators, and assigns of the client.

Effective upon Execution:

This agreement shall become effective and binding upon the parties hereto upon receipt of payment by Local Hits Media LLC
